Proper contractual arrangements and actual working practices must align.

A contract for services (overeenkomst van opdracht, art. 7:400 BW) — which Cyntax uses — involves an independent contractor who works at their own risk, determines their own methods, and delivers agreed-upon results without being subject to employer authority.

Bogus self-employment occurs when a working relationship is formally structured as self-employment but in practice exhibits all characteristics of employment — such as mandatory working hours, employer control over how the work is performed, organizational embedding, and no real entrepreneurial risk. Dutch legislation aims to prevent this to protect both workers' rights and fair competition.

What is the enforcement timeline for DBA/VBAR?

The Belastingdienst resumed active enforcement of the DBA on January 1, 2025, after years of a lenient enforcement moratorium. Back-assessments (naheffingen) can be imposed retroactively to January 1, 2025. Since 2026, the Belastingdienst can also impose misconduct penalties (vergrijpboetes) in cases of deliberate wrongdoing or gross negligence, and may proceed directly to full audits without a prior business visit. Compliance fines (verzuimboetes) are not yet imposed in 2026. The VBAR is expected to further clarify the legal framework.

I take a comprehensive approach: my general terms and conditions explicitly establish the relationship as a contract for services (overeenkomst van opdracht). I work for multiple clients, bear my own entrepreneurial risk, determine my own working methods and schedule, use my own tools, and am registered with the Chamber of Commerce. The contractual terms and the actual working practices are aligned and periodically evaluated.

In my engagements, none of these apply.

The Z-criteria are indicators that confirm independent entrepreneurship (zelfstandig ondernemerschap). Key indicators include: bearing financial risk for the work, providing your own tools and equipment, having specific education or expertise not structurally present in the client's organization, a short assignment duration or limited weekly hours, working for multiple clients or being able to, and independently acquiring business and presenting yourself as an entrepreneur. I demonstrably meet all of these criteria.

The holistic approach means that all criteria (W and Z) are assessed together, in context. No single criterion is decisive — it's the overall picture that determines whether a relationship qualifies as employment or self-employment. The absence of one entrepreneurship indicator doesn't automatically mean employment exists, as long as the total picture points to genuine self-employment. This principle is established in case law, including the Deliveroo ruling.

Can you work on-site at the client's office?

Accepted Answer

Yes, I can work on-site when the nature of the work requires it — for example, during initial project setup, important meetings, or when direct collaboration is most effective. However, my work location is my own choice. On-site work is based on functional necessity, not a mandatory attendance requirement. I determine where I work most effectively.

Do you follow the client's working hours and schedules?

No. I determine my own working hours and schedule. If we agree on indicative availability (e.g., 'approximately 32 hours per week'), this is a planning indication for capacity purposes — not an obligation to work fixed hours. I organize my time to deliver the agreed results, but when and how I work is my own decision.

Can the client give instructions on how to perform the work?

Accepted Answer

The client can specify what needs to be achieved (the result, deliverables, and quality criteria), but not how I perform the work. I independently determine my approach, tools, methods, and techniques. This distinction between 'what' and 'how' is one of the key differences between employment and genuine self-employment.

How does the right of free substitution work?

Accepted Answer

I retain the right to have a qualified substitute perform the work on my behalf, without requiring prior approval from the client. The substitute must meet the objective qualifications agreed upon in the assignment. This right of free substitution is a strong indicator of self-employment and is contractually established in my general terms and conditions.

Can you work for other clients simultaneously?

Yes, absolutely. I am entitled to accept assignments from other clients at all times, as long as it doesn't impede my obligations to you. I actively maintain a diversified client portfolio. My terms explicitly state that excessive dependency on a single client (indicatively more than 70% of annual revenue) is a risk for self-employment qualification, and clients shall not push for exclusivity.

If we agree on indicative availability (e.g., 'average X hours per week' or 'Y days per month'), this is purely a planning and capacity indication for mutual expectations. It is explicitly not a working time obligation, not a guarantee of minimum or maximum hours, and not a basis for hourly payment. I always retain the right to organize my own schedule.

How does invoicing work?

Invoicing is based on delivered milestones, deliverables, or results; or on agreed (partial) project prices. If explicitly agreed in writing, performance units may also be used. This is fundamentally different from salary payments — there is no continued payment obligation, holiday pay, or sick leave. I invoice as a business, including VAT where applicable.

Who provides the tools and equipment?

I use my own tools, hardware, software licenses, and development environment. This is one of the Z-criteria that supports independent entrepreneurship. If a project requires access to specific client systems or infrastructure, that access is provided for functional purposes only and doesn't constitute the client providing tools.

Confidentiality is standard in my general terms and conditions. Both parties are obligated to keep confidential information private during and after the engagement. This is a normal business arrangement between independent parties and does not indicate an employment relationship.

How is intellectual property handled?

Accepted Answer

Intellectual property arrangements are established in my general terms and conditions. Custom code and deliverables produced for a specific client project transfer to the client upon full payment. Pre-existing IP, reusable components, and general knowledge remain mine. This is a standard business arrangement between independent parties.

What risks does a client face under DBA/VBAR?

If the Belastingdienst determines that the working relationship is actually employment, the client may be liable for retroactive payroll taxes, social insurance premiums, and potential fines. That's why it's crucial that both the contract and the actual working practices clearly reflect genuine self-employment. My general terms and conditions are specifically designed to mitigate these risks.

What is the legal presumption (rechtsvermoeden) under VBAR?

The VBAR introduces a legal presumption: if a worker earns below an hourly rate of approximately €37 (indexed annually with the minimum wage), the relationship is presumed to be employment unless proven otherwise. This presumption does not apply to Cyntax engagements, as my rates are well above this threshold. The presumption is primarily designed to protect vulnerable workers in lower-paid positions.

Do we need a model agreement (modelovereenkomst)?

Since September 6, 2024, the Belastingdienst no longer approves new model agreements. Existing approved agreements remain valid until December 31, 2029. My general terms and conditions are based on multiple Belastingdienst-approved model agreements, including those from the Belastingdienst itself and Nederland ICT. More importantly, the actual working relationship must match what is contractually agreed — my terms explicitly address the DBA/VBAR criteria including the nature of the agreement, independence, substitution rights, and all W/Z-criteria.

What happens if the Tax Authority reclassifies the relationship?

If a competent authority (court, Belastingdienst, UWV) rules that the relationship qualifies as employment, both parties will immediately consult to adjust the agreement and actual practices to match the original intent. Financial consequences of reclassification are allocated to the client if the reclassification results from the client's instructions or actions that violate the agreed terms.

Can you take on a coordinating or leadership role (tech lead, architect)?

Yes. My terms explicitly address coordinating roles such as lead developer, tech lead, architect, or scrum master. Such a role involves functional coordination and technical leadership — not hierarchical authority within the client's organization. I don't conduct performance reviews, make HR decisions, or participate in non-project-related internal activities. The scope of the coordinating role is documented upfront.
